Terms for the Go Toll App

  1. General
    1. By clicking 'Accept' when opening this App, you accept and agree to be bound by these terms of use (Terms) and the policies that are an integral part of these Terms. You must be at least 18 years old, or the age of majority, as determined by the laws of your state or territory of residency, in order to accept these Terms. If you do not agree to these Terms or any of its parts, then you are prohibited and must refrain from using the GoToll App (App).
    2. The App is provided by Transurban Mobile, LLC (we or us), a member of the Transurban Group. For the purposes of these Terms, Transurban Group means:
      1. Transurban International Limited (ARBN 121 746 825), Transurban Holdings Limited (ABN 86 098 143 429) and Transurban Holding Trust (ARSN 098 807 419) by its responsible entity Transurban Infrastructure Management Limited (ACN 098 147 678), but only while the securities of those entities remain Stapled Securities (together the "Stapled Entities");
      2. each company in which the Stapled Entities, whether individually or collectively, own (directly or indirectly) 50% or more of the voting shares; and/or
      3. each company which is for the purposes of section 50AA of the Australia Corporations Act 2001 under the "control" of the Stapled Entities, whether individually or collectively.

      The entities that make up the Transurban Group will change from time to time such that entities which were not previously part of the Transurban Group as at the date of these Terms may at a later date become part of the Transurban Group.

    3. By using this App, you (i) confirm that you have read and accepted the Transurban Privacy Policy which are incorporated herein by reference, and (ii) consent to our contacting you using your mobile number for feedback on the App. Where you do not accept any of the terms in the Transurban Privacy Policy or any of these Terms, please cease using the App and contact hello@gotoll.com in relation to terminating your use of the App.
    4. IMPORTANT: THESE TERMS CONTAIN A PROVISION THAT GOVERN HOW CLAIMS BETWEEN YOU AND US CAN BE BROUGHT. THESE TERMS GENERALLY REQUIRE THE USE OF ARBITRATION ON AN INDIVIDUAL BASIS TO RESOLVE DISPUTES, RATHER THAN CLASS ACTIONS OR JURY TRIALS, AND ALSO LIMITS THE REMEDIES AVAILABLE TO YOU IN THE EVENT OF A DISPUTE. PLEASE SEE SECTION 18 BELOW FOR MORE INFORMATION.
    5. We reserve the right to amend the roads listed on Exhibit A attached hereto (each an Eligible Toll Road and collectively, the Eligible Toll Roads) in accordance with Section 15 of these Terms.
    6. Uninstallation methods vary depending on your device. To uninstall the App, you must use the application management tools provided with your device. Consult your device manual for assistance.
  2. Use of the App
    1. If you remove your vehicle from your account, you must arrange some other payment methods for any trips that you undertake on Eligible Toll Roads. If you do not have a valid alternative payment method in place for trips taken on Eligible Toll Roads, you may receive a toll violation notice and be liable for the toll and associated fees (not to exceed the amount of administrative fees set forth in applicable statutes) and other charges.
    2. In order to access and use the services provided by this App (Services) you will need to:
      1. have (A) an Android device and a Google account; or (B) an Apple device and an Apple ID that is linked to an iTunes account; and
      2. provide us with certain identifying information including:
        1. your first name;
        2. your surname;
        3. your mobile number;
        4. the state and license plate number of each vehicle you want to register with the App (App Vehicle); and
        5. your credit card details.

      If any user fails to provide the correct information stated above, you may, in our sole and absolute discretion be subject to the penalties set forth in Section 5 below.

      If you have an automated toll collection system account (e.g. an E-ZPass or similar account) (Different Account) and would like to use GoToll to pay for tolls instead, we recommend that you remove electronic tolling tag or transponder (e.g. an E-ZPass or similar transponder) (Transponder) from each App Vehicle and deregister any App Vehicle from your Different Account before making a trip. Please also refer to Section 4 below for other details on charges to your credit card where you have a Different Account.

      Vehicle registration times vary from state to state and from toll operator to toll operator. Please check your registration status in the App to ensure your vehicle registration is complete, otherwise you may be subject to the penalties set forth in Section 5 for any trips you take.

    3. You acknowledge that the App will only work on Eligible Toll Roads. You will be able to pay for a trip with the App, but if you also have a Different Account, and do not remove the Transponder and deregister each App Vehicle, the relevant tolls, fees and charges for any trips will be charged to your Different Account and to the App. Please also refer to Section 4 below for additional details on charges to your credit card where you have a Different Account.
    4. You will need to use your mobile number to create a password to access and use the App and Services. You are responsible for keeping these details secure.
    5. You may only use the App on a device capable of accessing the Google Play Store or the Apple iTunes Store and/or App Store to install apps.
    6. You may submit a request to delete your account (Account Deletion Request) at any time by contacting customer support as set forth in Section 16 of these Terms or via the App.
      1. You will remain financially responsible for all trips made by an App Vehicle on an Eligible Toll Road until the date on which you receive written or electronic notice via email and/or via the App that your account has been deleted from the GoToll customer database (Deletion Date).
      2. You may track the status of your Account Deletion Request by accessing the "My Vehicles" page in the App. Once your App Vehicle(s) are removed from your account, you will be responsible for all tolls incurred in accordance with Section 2(a) of these Terms.
    7. You should not use of any hand-held device while driving in any way that distracts your attention away from the road and could result in loss of vehicle control, crash and injury. We may send text messages or push notifications to your cell phone. In such an event, do not read messages on hand-held devices while driving, and in all instances, you should comply with all relevant laws regarding the use of hand-held devices while driving.
  3. You are responsible for Trips taken by your App Vehicle

    Eligible Toll Road operators use electronic tolling systems to detect vehicles that make trips on Eligible Toll Roads by identifying your license plate details. When trips are made on Eligible Toll Roads using your App Vehicle, the Eligible Toll Road operator (or the operator's preferred tag service provider) may send trip data and the relevant tolls to us so we can charge those tolls (and any applicable fees) to you through the App.

    Any questions regarding any tolls (and any applicable fees) charged on a particular Eligible Toll Road should, in the first instance, be referred to that Eligible Toll Road operator. In the event you contact customer support to dispute a trip made by an App Vehicle on an Eligible Toll Road (Disputed Trip), we may elect to independently verify such trip by requesting an image of the App Vehicle’s license plate from the Eligible Toll Road. If such verification can be obtained, the Disputed Trip will be deemed valid upon the sharing such verification image with you by email and/or text message. Except as set forth below, all claims regarding Disputed Trips must be made within thirty (30) days of the date on which the alleged Disputed Trip occurred. In the event you submit an Account Deletion Request, and any all claims relating to a Disputed Trip must be submitted via customer support within ten (10) days of your submission of such Account Deletion Request. For the avoidance of doubt, no claims for Disputed Trips may be submitted after the deadlines set forth herein and therefore, no credits or refunds will be issued.

    By linking your App Vehicle to the App, you accept responsibility for payment of the applicable tolls, fees and charges for all trips made by that App Vehicle on Eligible Toll Roads, including all trips by the App Vehicle that were undertaken in the past, including trips undertaken prior to linking your App Vehicle to the App.

    You acknowledge that toll rates, fee structures and promotions vary by location and toll road operator. Such rates and fees can be impacted based on various factors such as whether the vehicle is traveling with a transponder, traffic congestion or road usage. Consequently, GoToll users may pay a toll rate that is higher or lower than what may be posted at the time of travel and may not be entitled to participate in certain customer promotions.

  4. When we will charge your credit card

    Once a trip is reconciled against the records of the relevant Eligible Toll Road, the user will receive notice that the trip is ready for payment, and will then have 48 hours to pay such charges using their preferred payment method before the default card on the account is automatically charged.

    • We will refund the tolls, fees and charges identified by the Eligible Toll Road for your trip and paid for by the App where:
      1. you pay for a trip using the App and the relevant tolls, fees and charges are also charged to your Different Account.
      2. we receive notification of and independently verify that you were erroneously charged for a trip on an Eligible Toll Road.

    The processes outlined in this Section 4 could take up to four weeks and your credit card details will be stored and linked to your App Vehicle. We are subject to strict PCI/DSS security requirements to protect the security of your credit card details.

  5. Failure to pay for Trips taken by your App Vehicle and Third Party Penalties
    1. You acknowledge that:
      1. If you (A) fail to provide correct details in Section 2(b) of these Terms or (B) do not make payment of the tolls, fees and charges for a trip taken by your App Vehicle (whether via the App or otherwise), you may, in our sole and absolute discretion, be banned from future use of the App and issued with a toll violation notice and be liable for the toll and associated fees permissible under applicable law.
      2. In the event a user’s payment method fails (for any reason other than the expiration of the credit card associated with the user’s account), they will have 48 hours to update the payment method. If the payment method is not updated and the owed balance is not paid, the user will be blocked from using the App and will no longer be able to use the App to pay for tolls. The user’s access to the App may, be unblocked in our sole and absolute discretion at any time by settling the payment the user owes in full. Once the required payment is settled and access to the App is restored, the user will need to wait 24 hours after such restoration before they can begin using the App to pay tolls.
      3. In the event a user’s credit card on file has expired, the user will be blocked from using the App and will no longer be able to use the App to pay for tolls. The user’s access to the App may be unblocked by updating the payment method associated with their account. Once the payment method is updated and access to the App is restored, the user will need to wait 24 hours after such restoration before they can begin using the App to pay tolls.
    2. In addition to the penalties set forth in Section 5(a), failure to use the App in accordance with these Terms could result in the following penalties being assessed by other third parties including, but not limited to, toll road operators and automated toll collection system operators (e.g. E-ZPass):
      1. If a user takes a trip using the App on a toll road that is not on the list of Eligible Toll Roads, they will be liable to pay for any toll violations that may occur.
      2. If a user does not enter the correct license plate information in the App, they will be liable to pay for any toll violations that may occur.
      3. If a user has received notice that he/she has been blocked from using GoToll and continues to travel on any toll road and has not implemented another method of payment for such toll road travel, the user would be liable to pay for any toll violations that may occur.
  6. Your responsibilities
    1. You are responsible for all activity and use of the App, including making all appropriate updates to the App when prompted to do so and reviewing any changes to these Terms. You must comply with all applicable laws and regulations when using this App, which include not using this App while driving or using the App to engage in any illegal conduct or activity.
    2. We, other members of the Transurban Group, and their respective employees will not be responsible for any loss, damage, cost or expense arising from any failure to comply with the requirements in paragraph (a) above.
    3. You are solely responsible for any data or network charges incurred when using the App.
    4. You must not modify, reverse engineer, disassemble or decompile the whole or any part of the App or make unauthorized copies of or derivative works from the App, or any part of the App, for any purpose.
    5. You are solely responsible for maintaining a valid method of payment associated with your account.
    6. You should contact us as soon as possible when (i) your App Vehicle or license plate on your App Vehicle is lost or stolen or (ii) you become aware of anything that may or will affect any payments to be made under the Terms, including the expiration or replacement of your associated credit card.
  7. License to use the App and intellectual property

    Subject to your compliance with these Terms, we grant to you a revocable, non-exclusive, non-transferable, royalty-free license to use the App in the manner permitted by these Terms. You agree that:

    1. the unencumbered ownership of all intellectual property associated with the App and the Services (including data generated using the App or the Services) or any feedback provided (Developed IP) vests in us on creation and, to the extent applicable, you assign the unencumbered legal and beneficial ownership of all Developed IP to us;
    2. nothing in these Terms or your use of the App and/or Services grants or transfers any rights, title or interest to you in relation to the App, the Services (including data generated using the App or the Services); and
    3. your license to use the App applies to:
      1. an Android device that you own or control and the App must be used in the manner permitted by these Terms and the Google Play Store Terms of Service provided at https://play.google.com/intl/en_us/about/play-terms.html; or
      2. on an Apple device that you own or control, in the manner permitted by these Terms and the Apple Media Services Terms and Conditions provided at https://www.apple.com/ca/legal/internet-services/itunes/ca/terms.html.
  8. Variation, suspension and termination
    1. You acknowledge that we may change these Terms in our sole and absolute discretion at any time by making revised Terms available on the App and notifying you that these Terms have changed. You accept the revised Terms when you continue to use the App or any Services after you have been notified of a change to these Terms. Additionally, you will have no claim, complaint or demand against us for applying such changes or for failures incidental to such changes.
    2. We can terminate these Terms at any time in our sole and absolute discretion by providing written or electronic notice to you. We can also limit, suspend, terminate, modify or delete your access to this App and the Services at any time and for any reason (including for fraudulent claims of Disputed Trips) in our sole and absolute discretion by providing written or electronic notice to you. If these Terms or your access to the App are terminated, your GoToll registration and use of all Services will cease. If you do not have an alternative payment method in place for trips taken on Eligible Toll Roads, you may receive a toll violation notice and be liable for the toll and associated fees permissible under applicable law.
    3. We may provide you with support for the App and Services in our sole discretion. We reserve the right to stop providing or supporting the App or the Services at any time and without any consequence or further responsibility to you.
  9. Disclaimer of Warranty; Liability

    The App and/or any related Services may be unavailable, inaccurate or interrupted from time to time for a variety of reasons outside of our control. We are not responsible for any interruptions or errors of the App or any Services. The App is provided only on an "as is" and “as available” basis. We make no warranties, representations, or guarantees of any kind, express or implied, including but not limited to, accuracy, currency, or completeness, the operation of the App or the provision of any Services. To the fullest extent permitted by applicable law, we disclaim all warranties, express or implied, including but not limited to, implied warranties of merchantability and fitness for a particular purpose.

    To the maximum extent permitted by law, the Transurban Group and any of its employees, officers, directors, partners, agents or suppliers shall not be liable (whether in contract, tort (including negligence), under statute, warranty or otherwise) for any loss (including consequential, incidental, special or indirect damages, including loss of anticipated savings, diminution in value or lost data, goodwill or other intangible losses), damage or expense that you or any other person incurs arising directly or indirectly from (a) your use of the App, Services, any Eligible Toll Road, or anything else in connection with these Terms, (b) any conduct or content of any third party on the App or Service, (c) any content obtained from the App or Service or (d) any unauthorized access, use or alteration of your transmissions or content in connection with the App or Service. These Terms do not affect any rights, liabilities and responsibilities arising at law, including statutory consumer protection.

    You agree and acknowledge that you assume full, exclusive and sole responsibility for the use of and reliance on the App, and you further agree and acknowledge that your use of or reliance on the App is made entirely at your own risk. You further acknowledge that it is your responsibility to comply with all applicable laws (including traffic laws) while using the App.

    Some jurisdictions do not permit the exclusions of certain warranties or the limitation of liability for consequential or incidental damages, as a result, some of the limitations set forth in this Section 9 may not apply to you.

  10. Breach and Indemnity

    You agree to indemnify and hold harmless the Transurban Group and its employees, officers, directors, partners, agents and suppliers from and against all claims, damages, expenses, losses and liabilities resulting from or arising out of (a) the use of, or access to, the App and Services by you or any person using your GoToll account or (b) a violation or breach of these Terms. This indemnity is intended to cover all expenses, payments, loss, loss of profits or any other damage, direct or indirect, monetary or non-monetary, incurred by the Transurban Group, its employees, officers, directors or agents as a result of your violation of the Terms, including but not limited to legal expenses and attorney fees.

    You agree to hold harmless all tolling authorities, Eligible Toll Roads and/or road operators that have entered into an agreement with us for all claims or losses sustained in relation to our performance under these Terms.

    You acknowledge and agree that these Terms shall not create or otherwise imply a duty on the part of the Transurban Group to indemnify you under any circumstance.

  11. No Interest

    You will not earn interest on any credit account balance or amount you pay us under the Terms.

  12. Consent to Use and Disclose Information

    You consent to us using or disclosing any information (including personal information) you provide to us if the information is used or disclosed for the purposes contemplated by these Terms (including the exercise of any rights or the performance of any obligations under these Terms) or as detailed in the Transurban Privacy Policy. If you provide us with your email address or mobile phone number, you consent to us using those contact details to send you traffic updates and other notices relevant to your use of Eligible Toll Roads without further consent, including via email or autodialed Short Message Service(SMS or "text" message). You can ask not to receive such communications at any time.

  13. Terms and Conditions of Apple and Google
    1. These Terms are between you and Transurban Mobile LLC only. Neither Apple nor Google has any obligation to provide any maintenance or support services with respect to the App.
    2. By using the App you agree that either Apple or Google and their respective subsidiaries will have the right (and you will be deemed to have accepted their right) to enforce these Terms against you as a third party beneficiary to these Terms.
    3. Transurban Mobile LLC, and neither Apple nor Google, will be responsible, subject to these Terms, for addressing any claims initiated by you relating to the App, including, but not limited to:
      1. product liability claims;
      2. any claim that the App fails to conform to any applicable legal or regulatory requirement; and
      3. claims arising under consumer protection or similar legislation.
    4. In the event of any third party claim that the App infringes on such third party's intellectual property rights, Transurban Mobile LLC will be solely responsible for the investigation, defense, settlement and discharge of any such intellectual property infringement claim and neither Apple nor Google will have any responsibilities related to the foregoing.
    5. By using the App, you represent and warrant that:
      1. you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a 'terrorist supporting' country; and
      2. you are not listed on any U.S. Government list of prohibited or restricted parties.
  14. Contests, Sweepstakes, Promotions and Other Programs

    Any contests, sweepstakes, promotions or other programs (Marketing Campaigns) made available through the App or Services will be governed by rules that are separate from these Terms. If you elect to participate in any Marketing Campaigns, please review the terms and conditions and rules associated with the applicable Marketing Campaign. In the event the rules for a Marketing Campaign conflict with these Terms, the rules associated with such Marketing Campaing will prevail.

    We may, at our sole discretion, create promotional codes (Promo Codes) that may be redeemed for account credit or other features related to the App or Service, subject to additional terms and conditions that we establish for each promotional code offered. You agree that any Promo Codes (a) will be used lawfully and for its intended audience and purpose, (b) may not be duplicated, sold, transferred or made publicly available (in any form) unless explicitly permitted by us, (c) must be used in accordance with the specific terms and conditions associated with such Promo Code, (d) are not valid for cash, (e) may be disabled by us at any time in our sole discretion without any liability to us and (f) may expire prior to your use. We reserve the right to withhold, deduct or remove other features or benefits obtained through the use of Promo Codes if we believe that the use of such Promo Codes was illegal, fraudulent, or in violation of these Terms or the terms and conditions of the applicable Promo Code.

    We may also, at our sole discretion, implement a customer referral program designed to provide you with incentives to refer your friends and family to become new users of the Services (Referral Program). Your participation in the Referral Program is subject to this Agreement and the additional Referral Program Rules. You agree that any incentives related to the Referral Program are not valid for cash and that any Referral Program may be terminated by us at any time in our sole discretion without any liability to us. We reserve the right to withhold, deduct or remove other features or benefits obtained through the Referral Program if we believe that the participation in the Referral Program was illegal, fraudulent, or in violation of these Terms or the Referral Program Rules.

  15. Complete Terms

    These Terms, together with the policies that are an integral part of these Terms, namely the Privacy Policy, shall all constitute the entire and complete agreement between you and us concerning the App. We may need to change these Terms from time to time. If we do, we will post the updated version in the App, which will take effect from the date stated at the top of these Terms. If the changes are significant, we will aim to provide a more prominent notice of the change and, where possible, send our customers a notification of the changes. We encourage you to check the App from time to time to ensure that you are aware of our current Terms and how they apply to you.

  16. Complaints, questions and disputes

    If you have a dispute or wish to make a complaint about Go Toll or a payment or an amount debited, credited or not credited to Go Toll, you should contact us at hello@gotoll.com or through the customer support function in the App. A customer service officer will provide a response to your inquiry as soon as possible.

  17. Governing law

    These Terms and your use of this App and Services are governed by the laws of the Commonwealth of Virginia, without giving effect to any choice or conflict of law provision or rule.

  18. Limitations on Filing Claims

    PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR RIGHTS.

    ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THIS APP AND/OR SERVICES MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES OTHERWISE SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED.

    Except for claims of infringement or misappropriation of patent, copyright, trademark, or trade secret, any and all disputes between you and us or the Transurban Group arising under or related in any way to these Terms, must be resolved through binding arbitration as described in this Section. This agreement to arbitrate is intended to be interpreted broadly. It includes, but is not limited to, all claims and disputes relating to your use of any aspect of the App and/or Services.

    YOU AGREE THAT BY ENTERING INTO THIS AGREEMENT, YOU AND US AND/OR THE TRANSURBAN GROUP ARE EACH WAIVING THE RIGHT TO TRIAL BY JURY OR TO PARTICIPATE IN A CLASS ACTION. YOU, AND US/THE TRANSURBAN GROUP AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. ANY ARBITRATION WILL TAKE PLACE ON AN INDIVIDUAL BASIS; CLASS ARBITRATIONS AND CLASS ACTIONS ARE NOT PERMITTED.

    The arbitration will be governed by the Commercial Arbitration Rules and the Supplementary Procedures for Consumer Related Disputes of the American Arbitration Association ("AAA"), as modified by this section. For any claim where the total amount of the award sought is $10,000 or less, the AAA, you and us must abide by the following rules: (a) the arbitration shall be conducted solely based on written submissions; and (b) the arbitration shall not involve any personal appearance by the parties or witnesses unless otherwise mutually agreed by the parties. If the claim exceeds $10,000, the right to a hearing will be determined by the AAA rules, and the hearing (if any) shall take place in Fairfax County, Virginia. The arbitrator's ruling is binding and may be entered as a judgment in any court of competent jurisdiction. In the event this agreement to arbitrate is held unenforceable by a court, then the disputes that would otherwise have been arbitrated shall be exclusively brought in the state or federal courts located in the Commonwealth of Virginia. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

Due to interoperability functionality among toll agencies and operators, GoToll may be a valid method of payment in jurisdictions and on roads that are not specifically identified in this Exhibit A (collectively, the Interoperable Facilities). For purposes of these Terms, all toll charges on Interoperable Facilities that are paid through the App shall constitute a trip on an Eligible Toll Road and the user will be responsible for payment in accordance with the Terms.
